These Terms of Service ("Terms") constitute a legally binding agreement between you and Kribble, LLC ("Kribble," "we," "us," or "our") governing your access to and use of the Kribble platform, including the website at gokribble.com and the application at app.gokribble.com (collectively, the "Platform").
By creating an account, accessing the Platform, or clicking "I agree," you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Platform.
Kribble is a cloud-based project management platform designed for organizations managing multi-stage production workflows. The Platform provides tools for project creation and tracking, team and workstation management, item-level workflow routing, task logging, billing and cost tracking, and client reporting.
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Platform at any time, with reasonable notice where practicable.
To use the Platform, your organization must have an active Kribble account. Individual user accounts are created by organization administrators. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
The Platform assigns role-based access levels to users within each organization. Administrators are responsible for assigning appropriate roles and managing user access. Kribble is not liable for actions taken by users whose access was not appropriately configured or revoked.
You agree to notify us immediately at support@gokribble.com if you become aware of any unauthorized access to your account. We recommend enabling multi-factor authentication (MFA) for all accounts.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
Access to the Platform requires a paid subscription. Subscription plans, pricing, and included features are described on our pricing page and may be updated from time to time. Your subscription tier determines which features are available to your organization.
Subscriptions are billed monthly in advance. Platform fees include a base platform fee plus a per-active-user fee based on the number of users who accessed the Platform during the billing period. All payments are processed securely through Stripe. Kribble does not store payment card information.
If payment is not received within 10 days of the invoice due date, we reserve the right to suspend access to the Platform until the outstanding balance is paid. Repeated non-payment may result in account termination.
Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access through the end of your current billing period.
You retain full ownership of all data, content, and records you upload or create within the Platform ("Your Data"). These Terms do not grant Kribble any ownership rights in Your Data.
By using the Platform, you grant Kribble a limited, non-exclusive license to store, process, and display Your Data solely to provide the Platform services to you. We do not use Your Data for any other purpose, including training AI or machine learning models.
You may request an export of Your Data at any time by contacting support. Upon account termination, we will make Your Data available for export for a period of 90 days, after which it will be permanently deleted from our systems.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or disclosed with prior written consent.
The Platform, including its software, design, user interface, and all Kribble content, is owned by Kribble, LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use Kribble's trademarks, logos, or branding without prior written consent.
If you provide feedback or suggestions regarding the Platform, you grant Kribble a royalty-free, perpetual license to use that feedback without any obligation to compensate you.
The Platform integrates with third-party services including Amazon Web Services (infrastructure), AWS Cognito (authentication), Stripe (payment processing), and others. Your use of those services is subject to their respective terms and privacy policies. Kribble is not responsible for the acts or omissions of third-party service providers.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Kribble does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not warrant that any specific results will be achieved through use of the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KRIBBLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
KRIBBLE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KRIBBLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Kribble, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
These Terms remain in effect for as long as you have an active Kribble account. Either party may terminate the agreement by providing written notice. Kribble may terminate or suspend your access immediately if you materially breach these Terms.
Upon termination, your right to access the Platform ceases immediately. Sections covering intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hamilton County, Indiana, and you consent to personal jurisdiction in those courts.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes informally by contacting us at legal@gokribble.com and allowing 30 days for good-faith resolution.
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email or by posting a notice within the Platform. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
